Terms of Service

1. Acceptance of Terms

By accessing and using StarVault ("Platform," "Service," "we," "us," "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Use License

StarVault grants you a non-exclusive, non-transferable, revocable license to use our Platform subject to these terms and conditions. You may not:

• Modify or copy the materials or content
• Use the materials for any commercial purpose or for any public display
• Attempt to decompile or reverse engineer any software contained on the Platform
• Transfer the materials to another person or "mirror" the materials on any other server
• Violate any applicable laws or regulations in your use of the Service
• Harass, threaten, or defame any person or entity
• Remove any copyright, trademark, or other proprietary notices

3. User Responsibilities

Account Security

You are responsible for maintaining the confidentiality of your account information and password. You agree to accept responsibility for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

User Content

You are solely responsible for the content you upload or submit to our Platform. You grant StarVault a worldwide, non-exclusive license to use, reproduce, and distribute your content. You represent and warrant that you own or have the necessary rights to all content you submit.

Prohibited Conduct

You agree not to:

• Post content that is false, misleading, or deceptive
• Engage in any form of harassment, abuse, or discrimination
• Attempt to gain unauthorized access to the Platform
• Interfere with the normal operation of the Platform
• Use automated tools or bots without permission
• Spam or send unsolicited communications

4. Booking Terms

Booking Process

All bookings made through StarVault are subject to acceptance by the celebrity or their representative. StarVault acts as an intermediary and does not guarantee that a booking will be accepted. A booking is confirmed only when you receive written confirmation from both StarVault and the celebrity's representative.

Booking Modifications

Modifications to confirmed bookings may be subject to additional fees. Requests for modification must be submitted in writing at least 14 days before the booking date. StarVault reserves the right to deny modification requests made within 14 days of the event.

Cancellation Policy

Cancellations by Client: Cancellations made more than 30 days before the event are entitled to a 75% refund. Cancellations made 14-30 days before are entitled to a 50% refund. Cancellations made less than 14 days before are non-refundable.

Cancellations by Celebrity: If a celebrity cancels less than 14 days before the event, you are entitled to a full refund or rebooking with another celebrity at no additional cost.

Liability

StarVault is not responsible for the performance of the celebrity or any issues arising from the booking. You agree to indemnify and hold StarVault harmless from any claims arising from your use of the Platform or any booking made through it.

5. Payment Terms

Payment Methods

We accept all major credit cards, debit cards, and other payment methods as listed on our Platform. All payments are processed securely through our encrypted payment gateway.

Pricing

All prices are displayed in USD unless otherwise stated. Prices are subject to change without notice. Tax and applicable fees will be added to your booking total.

Payment Authorization

By submitting your payment information, you authorize StarVault to charge your account for the total booking amount. You represent that you are authorized to use the payment method you provide.

Refunds

Refunds are processed to the original payment method within 7-10 business days. StarVault is not responsible for any fees charged by your financial institution.

6. Intellectual Property Rights

All content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by StarVault, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, and other intellectual property laws.

You may not reproduce, distribute, transmit, display, perform, publish, license, create derivative works from, transfer, or sell any information, software, products, or services obtained from our Platform.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL STARVAULT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF USE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO STARVAULT IN THE 12 MONTHS PRECEDING THE CLAIM.

Warranty Disclaimer

THE PLATFORM AND ALL CONTENT AND SERVICES AVAILABLE ON OR THROUGH IT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OR REPRESENTATIONS. STARVAULT EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

8. Dispute Resolution

Informal Resolution

Before initiating any legal proceedings, you agree to attempt to resolve disputes informally by contacting StarVault at legal@starvault.com.

Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration in accordance with the American Arbitration Association rules. The arbitration shall take place in Los Angeles, California.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California and the United States of America, and you irrevocably submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Modifications to Terms

StarVault reserves the right to modify these Terms at any time. Your continued use of the Platform following the posting of revised Terms means you accept and agree to the changes. It is your responsibility to check these Terms periodically for changes.

Termination of Service

StarVault may terminate your access to the Platform at any time for any reason, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease.
